The layer stack is composited exactly as it would appear on screen and written as a flat PNG. Transparency is preserved, which matters for logos and UI assets exported from a layered file.
Everything editable is lost. Layers, masks, adjustment layers, smart objects and live text collapse into one bitmap, and hidden layers are simply not drawn. There is no way back to the layered file from the PNG.

PSDs are often authored in Adobe RGB or CMYK. PNG is written in sRGB, so anything outside that gamut has to be mapped into it.
