What actually changes
EPUB and TXT are not the same picture in two wrappers.
The HTML chapters are stripped of markup and concatenated in spine order into one UTF-8 text file. Images, styling, footnote structure and navigation are all discarded.
Worth knowing first
Front and back matter goes in with everything else. Copyright pages, dedications, the table of contents and the index end up in the middle of the text stream, which skews any word count or analysis unless they are removed first.

Is the chapter order preserved?
Yes. The EPUB spine defines reading order, and that is what is followed.
What about footnotes?
They appear as text where their file sat in the spine, often collected at the end of a chapter rather than inline.
